Terms & Conditions

These Terms & Conditions (the “Terms”) form a binding legal agreement between you (“you”, “your”, the “User”) and Alexy Musuyi, trading as Emporio Systems (“Emporio”, “we”, “us”, “our”), governing your access to and use of this website, the Emporio Indicator, the Emporio Prop-Firm Scalper, any bundle, and all related content, software, documentation, tutorials, communications and services (together, the “Services”).

By accessing the website, creating an account, or purchasing or using any Service, you confirm that you have read, understood and agree to be bound by these Terms, the Risk Disclaimer and the Privacy Policy, each incorporated by reference. If you do not agree, you must not access or use the Services.

• “Products” means the indicator, the algorithm, any bundle, and associated materials.
• “License” means the limited, personal right to use a Product, and any license key issued to you.
• “Content” means all text, data, methodology, code, scripts, settings, tutorials, track records and media provided through the Services.
• “Prop Firm” means any proprietary trading firm, funded-account provider or evaluation provider.
• “Third-Party Platform” means any third-party service including TradingView, NinjaTrader, Tradovate, brokers, data providers and payment processors.

You must be at least 18 years old and have full legal capacity to enter into these Terms. You are responsible for ensuring that your use of the Services, and of any Third-Party Platform or Prop Firm, is lawful in your jurisdiction. The Services are not directed to any person in a jurisdiction where their provision or use would be contrary to law or regulation.

The Services are provided strictly for educational, informational and analytical purposes only. Emporio is a provider of trading tools and education. Emporio is not a bank, broker-dealer, investment adviser, financial adviser, fund manager, commodity trading advisor, or any kind of regulated financial entity, and does not hold itself out as such.

Nothing in the Services is, or should be construed as, a personal recommendation, solicitation, inducement or offer to buy, sell or hold any security, future, contract, currency or other financial instrument, nor as investment, financial, legal, tax or accounting advice. No advisory, fiduciary or brokerage relationship is created between you and Emporio.

Alexy Musuyi is not a licensed or registered financial adviser. Any figures, examples, track records, methodology, settings or opinions are general in nature, do not take account of your objectives, financial situation or needs, and must not be relied upon as advice. You are solely responsible for your own trading decisions and should seek independent professional advice before trading.

Trading results are inherently uncertain. Emporio makes no representation, warranty or guarantee of any kind that you will earn any profit, win any trade, achieve any winning day, pass any evaluation, obtain any Prop Firm payout, or avoid losses.

All performance figures, win rates, loss counts, payout counts, back-tests, hypothetical results and examples shown anywhere in the Services describe a specific historical data set, on specific instruments and settings, and are not indicative of and do not guarantee future results. A high historical win rate does not guarantee future wins. Back-tested and hypothetical performance has inherent limitations, may not reflect the impact of real market conditions, and does not represent actual trading. Statements that a system “increases the odds” of a payout are opinions about probability, not promises of outcome.

Trading futures and other leveraged instruments carries a high level of risk and may not be suitable for all persons. You may lose some, all, or more than your deposited capital. Leverage magnifies both gains and losses.

You acknowledge and agree that you use the Services entirely at your own risk, that you are solely responsible for all trades placed and all resulting outcomes, and that you accept full responsibility for any and all losses. You should never trade with money you cannot afford to lose.

Subject to your payment and continued compliance with these Terms, Emporio grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the purchased Product for your own individual use only.

You must not, and must not permit any third party to:

• share, lend, resell, sublicense, rent, distribute, publish or otherwise make available your access, account, license key or any Content;
• use one license across multiple persons, or on behalf of any other person or entity;
• copy, reproduce, decompile, reverse-engineer, disassemble, translate or create derivative works from any Product, script, algorithm or Content;
• attempt to extract, reconstruct, reveal or reverse-engineer the underlying strategy, entry criteria, settings or parameters;
• circumvent, disable or interfere with any licensing, security or access-control mechanism.

Breach of this section is a material breach. We may suspend or revoke your License and access immediately and without refund, and pursue all available remedies.

All Products, scripts, algorithms, methodology, settings, track records, text, graphics, logos and other Content are the exclusive property of Emporio and Alexy Musuyi or its licensors, and are protected by intellectual property laws. No rights are granted to you except the limited License expressly set out above. All rights not expressly granted are reserved. “Emporio Systems” and associated marks are our trade marks; you may not use them without our prior written consent.

Prices are stated in pounds sterling (GBP) and are one-time fees unless expressly stated otherwise. Payment is processed by our third-party payment processor (Stripe); by purchasing you also agree to the processor's terms. You represent that you are authorised to use the payment method provided.

You are responsible for any taxes, duties, currency-conversion charges or bank fees applicable to your purchase. We may change prices at any time, but changes will not affect purchases already completed.

Because the Products deliver proprietary methodology, settings and digital access immediately upon purchase, and because that information cannot be “returned” once disclosed, all sales are final and non-refundable. By purchasing, you expressly request immediate access to the digital Content and acknowledge that you thereby lose any right of withdrawal or “cooling-off” cancellation to the fullest extent permitted by applicable law.

No refund, credit or exchange will be given for any reason, including but not limited to: change of mind; dissatisfaction with results; losses incurred; failure to pass an evaluation or obtain a payout; lack of experience; incompatibility with your setup; Prop Firm rule changes or bans; or outages or issues with any Third-Party Platform.

The Products operate on or alongside Third-Party Platforms and may be used with Prop Firms. Emporio is independent of, and not affiliated with, endorsed by or sponsored by TradingView, NinjaTrader, Tradovate, any broker, any data provider, any payment processor, or any Prop Firm.

You are solely responsible for reading, understanding and complying with the terms, rules, consistency rules, risk limits and evaluation conditions of every Third-Party Platform and Prop Firm you use. Their rules vary and may change at any time. Emporio accepts no responsibility or liability for any account suspension, termination, ban, disqualification, withheld payout, rule breach or dispute arising between you and any Third-Party Platform or Prop Firm, howsoever caused.

The Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or that the Services will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components.

Software, indicators, algorithms, data feeds, alerts and internet services can and do fail. Emporio does not warrant continuous availability and accepts no liability for any outage, downtime, delay, latency, disconnection, data error, missed or repainted signal, execution failure, slippage, bug, or interruption, whether caused by us, a Third-Party Platform, your equipment, connectivity, or any other cause.

To the maximum extent permitted by law, in no event shall Emporio, Alexy Musuyi, or any of its affiliates, agents or representatives be liable to you or any third party for any:

• trading losses, financial losses, loss of capital, or loss of profits or anticipated profits;
• missed trades, missed payouts, failed evaluations, or lost funded accounts;
• Prop Firm bans, suspensions, disqualifications or withheld payouts;
• indirect, incidental, special, punitive or consequential damages;
• loss of data, goodwill or opportunity,

arising out of or in connection with the Services, any Product, any Content, any reliance on any figure or methodology, or any outage or third-party act, even if advised of the possibility of such damages, and whether based in contract, tort (including negligence), strict liability or otherwise.

Where liability cannot lawfully be excluded, Emporio's total aggregate liability to you for any and all claims is limited to the amount you actually paid to Emporio for the specific Product giving rise to the claim in the twelve (12) months preceding the event. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot be excluded or limited by law; your statutory rights that cannot lawfully be excluded are unaffected.

You agree to indemnify, defend and hold harmless Emporio, Alexy Musuyi and its affiliates from and against any and all claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or connected with your use or misuse of the Services, your trading activity, your breach of these Terms, your breach of any Third-Party Platform or Prop Firm rules, or your violation of any law or the rights of any third party.

You agree not to: use the Services for any unlawful or fraudulent purpose; share, resell or redistribute access or Content; attempt to reverse-engineer or leak the methodology; interfere with or compromise the security or integrity of the Services; use bots or scrapers against the website; or impersonate any person. We may suspend or terminate access for any breach, without refund.

You are responsible for maintaining the confidentiality of your account credentials and license key, and for all activity under your account. Notify us immediately of any unauthorised use. We are not liable for any loss arising from your failure to keep your credentials or license key secure, or from unauthorised sharing.

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) are governed by the laws of England and Wales, and you and Emporio submit to the exclusive jurisdiction of the courts of England and Wales.

Before commencing any formal action, you agree to first contact us in good faith to seek resolution. Disputes will be handled accordingly and on a case-by-case basis. Given the no-refund policy and the immediate delivery of digital Content, you agree not to initiate any chargeback, payment dispute or reversal in respect of a valid purchase; any such wrongful chargeback is a breach of these Terms, may result in immediate revocation of access without refund, and we reserve the right to recover the disputed amount and associated costs.

We may modify, suspend or discontinue any part of the Services at any time, and may update these Terms from time to time. The “last updated” date shows when. Continued use after changes constitutes acceptance. It is your responsibility to review the Terms periodically.

We may suspend or terminate your access and License at any time, with or without notice, for any breach of these Terms or suspected misuse, without refund. On termination, the license rights granted to you cease and you must stop using the Products and Content. Sections which by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnity and governing law) survive termination.

Emporio is not liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, outages, failures of Third-Party Platforms, internet or power failures, market disruptions, exchange or regulatory action, cyber-attacks, or changes in law.

These Terms, together with the Risk Disclaimer and Privacy Policy, are the entire agreement between you and Emporio and supersede any prior understanding. If any provision is held unenforceable, the remaining provisions continue in full force, and the unenforceable provision will be modified to the minimum extent necessary. Our failure to enforce any right is not a waiver. You may not assign these Terms; we may assign them. No third party has any right to enforce these Terms.
